These Terms & Conditions ("Terms") govern your access to and use of the hapi3 website, platform, applications, and services ("Services").

By creating an account, accessing, or using hapi3, you agree to be bound by these Terms.

1. Definitions

  • "hapi3", "we", "us", or "our" refers to hapi3 Ltd.
  • "User" refers to any individual or business accessing the platform.
  • "Customer User" refers to individuals participating in Create2Earn campaigns.
  • "Business User" refers to businesses hosting campaigns.
  • "Content" refers to user-generated content published on third-party social platforms.
  • "Points" refers to non-monetary loyalty rewards issued within the hapi3 system.

2. Eligibility

You must:

  • Be at least 16 years old (EU/UK requirement)
  • Have the legal capacity to enter into a binding agreement
  • Use the platform in compliance with all applicable laws

Business users confirm they are authorized to act on behalf of their organization.

3. Account Registration & Responsibility

  • You are responsible for maintaining accurate account information
  • You are responsible for all activity under your account
  • You must not share login credentials or impersonate others
  • We may suspend or terminate accounts that violate these Terms

4. Create2Earn Campaign Participation

4.1 Content Submission

By submitting a social media link, you confirm that:

  • The content was created by you
  • The content reflects a real experience
  • The content is publicly accessible
  • The content complies with platform rules and applicable law

hapi3 does not host or store your media files. We only store references (links) and public performance data.

4.2 Content Ownership

You retain full ownership of your content

You grant hapi3 a limited, non-exclusive, royalty-free license to:

  • Reference the content
  • Display performance data
  • Use excerpts or thumbnails only where explicitly permitted and with attribution

We do not sell or license your content to third parties.

5. Loyalty Points System

5.1 Nature of Points

  • Points are non-monetary
  • Points have no cash value
  • Points are not transferable or exchangeable for money
  • Points may only be redeemed as defined within the platform

5.2 Modification & Expiry

hapi3 may adjust point rules, earning logic, or redemption options

Points may expire or be revoked in cases of:

  • Fraud
  • Content removal
  • Policy violations
  • Campaign misuse

6. Business Accounts, Trials & Billing

6.1 Free Trial

  • Business users may receive a free trial period
  • Trial duration and features may change
  • No guarantee of results is provided

6.2 Paid Plans

  • Paid subscriptions are billed as disclosed at purchase
  • Fees are non-refundable unless required by law
  • Prices may change with reasonable notice

7. Prohibited Activities

You must not:

  • Submit false, misleading, or fake content
  • Manipulate engagement metrics
  • Post illegal, harmful, or offensive material
  • Circumvent campaign rules
  • Use the platform for spam or abuse

Violation may result in suspension, termination, or point forfeiture.

8. GDPR / UK / EU Data Protection Compliance

8.1 Data Roles

  • hapi3 acts as a Data Controller for user account data
  • For campaign data, hapi3 may act as a Data Processor on behalf of Business Users

All data processing complies with:

  • EU General Data Protection Regulation (GDPR)
  • UK GDPR
  • Data Protection Act 2018

8.2 Lawful Processing

Personal data is processed on the basis of:

  • User consent
  • Contractual necessity
  • Legitimate interests (fraud prevention, platform integrity)
  • Legal obligations

8.3 User Rights (EU & UK)

Users have the right to:

  • Access personal data
  • Rectify inaccurate data
  • Request erasure ("right to be forgotten")
  • Restrict or object to processing
  • Data portability
  • Withdraw consent at any time

8.4 International Transfers

Where data is transferred outside the UK or EU, we use:

9. Third-Party Platforms

hapi3 integrates with external social media platforms by reference only.

We are not responsible for:

  • Platform outages
  • Content moderation decisions
  • Policy changes by third-party platforms

Use of those platforms is governed by their own terms and policies.

10. Suspension & Termination

We may suspend or terminate access if:

  • These Terms are breached
  • Required by law
  • Platform integrity is compromised

Users may close their accounts at any time.

11. Disclaimer of Warranties

The platform is provided "as is" and "as available".

We do not guarantee:

  • Specific reach, engagement, or business outcomes
  • Continuous or error-free service

12. Limitation of Liability

To the maximum extent permitted by law:

  • hapi3 shall not be liable for indirect, incidental, or consequential damages
  • Liability is limited to amounts paid by the user in the preceding 12 months

Nothing in these Terms limits liability where prohibited by UK or EU law.

13. Governing Law & Jurisdiction

These Terms are governed by:

  • The laws of England and Wales (recommended for UK/EU alignment)
  • Courts of England and Wales shall have exclusive jurisdiction, unless mandatory local law applies.

14. Changes to These Terms

We may update these Terms from time to time.

Material changes will be communicated via the platform or email.
